1. Agreement to Terms

By accessing or using the Cadus mobile application ("Service") operated by Cadus Labs ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Cadus is an expense tracking and financial management application designed for self-employed individuals, freelancers, and small business owners. Our Service includes:

  • Expense and income tracking
  • Receipt scanning and OCR processing
  • Bank account synchronization
  • Email receipt scanning
  • Mileage tracking
  • Tax report generation
  • Invoice creation and management

3. User Accounts

To use our Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete information
  • Updating your information to keep it current

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payments

4.1 Free Trial

We offer a 30-day free trial for new users. No credit card is required to start the trial. After the trial period, you must subscribe to a paid plan to continue using premium features.

4.2 Subscription Plans

Subscription fees are billed in advance on a monthly or annual basis. Prices are subject to change with 30 days notice.

4.3 Cancellation

You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Upload malicious code or content
  • Use the Service to transmit spam or unsolicited communications
  • Impersonate another person or entity
  • Use the Service to commit fraud or tax evasion
  • Reverse engineer, decompile, or disassemble the application

6. Third-Party Services

Our Service integrates with third-party services including:

  • Plaid: For secure bank account connections. Use of Plaid is subject to the Plaid End User Privacy Policy
  • Google Gmail API: For email receipt scanning. Use is subject to Google's Terms of Service
  • Supabase: For data storage and authentication

We are not responsible for the practices or content of third-party services.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Cadus Labs and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Important: Cadus is not a tax preparation service or accounting firm. The tax reports and calculations provided are for informational purposes only. We recommend consulting with a qualified tax professional or CPA for tax advice and filing.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADUS LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cadus Labs, its officers, directors, employees, and agents, from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • At our sole discretion, for any reason

Upon termination, your right to use the Service will immediately cease. You may export your data prior to account deletion.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
